Legislative change: Non-disclosure of residential address in the Danish Central Business Register

On 19 December 2017, the Danish Parliament passed a bill that makes it possible for persons registered in the Central Business Register to have the protection of their address details transferred from the Civil Register to the Central Business Register.

The amendment implies that addresses of persons who have requested non-disclosure of their name and address in the Civil Register will also be protected from disclosure in the Central Business Register. It is still possible, however, to ask the Danish Business Authority to make the address details available in the Central Business Register. While the protection afforded in the Civil Register comprises both name and address, only addresses will be protected in the Central Business Register.

The amendment will affect persons who are registered in the Central Business Register as executives, directors, shareholders or beneficial owners1

Persons without a civil registration number may request the Business Authority to have their address protected in the Central Business Register. The Business Authority will lay down the terms and conditions of the protection and determine when address details of persons without a civil registration number should be disclosed to third parties.

No change of the registration requirements

Only the rules governing protection of addresses in the Central Business Register will be changed. The rules requiring registration of addresses with the Business Authority will remain the same. Public authorities will therefore still have access to address details whether they are available in the Central Business Register or not. An individual may request access to protected address details if he has a claim that has fallen due or any other legitimate interest in obtaining this information.

After implementation of the amendment, personal information will only be available and be updated in the Central Business Register for three years after the person's connection to the registered business has ended. Personal information of founders will not be updated, however.

Date of commencement

A few provisions in the Act entered into force on 1 January 2018, while the above provisions are expected to become effective on 1 July 2018. 

 

Under the Danish Companies Act, the Danish Act on Certain Commercial Undertakings, the Danish Act on Commercial Foundations, or the Danish SE Act.
