"English law in 10 minutes": Podcast series about navigating the UK legal system

Podcast

The differences between and application of English and Danish law are not insignificant, and to do business under both can often be complex. In our new podcast series "English law in 10 minutes", partner Kumaran Thavarajah and director Katherine Hensby, together with their colleagues, discuss some of the questions that they often receive from clients transacting in, or in otherwise navigating, the legal system in England and Wales.

The podcasts include considerations around representations and warranties to exclusion clauses, and express and implied terms. Kumaran and Katherine sum up the most important key takeaways in each 10 minute episode – how about enjoying a cup of coffee while listening?

Ep. 5: When do you use endeavours in your contracts, and why?

What is an endeavour, and when should you refer to reasonable or best endeavours in a contract? What practical implications may arise using these two kinds of endeavours? In this episode Katherine and legal consultant Sophia Solyanyk consider these and related questions. Published 10 June 2022.

Ep. 4: What is the distinction between warranties and indemnities under English and Danish law?

Kumaran and legal consultant Aleks are in the studio discussing the distinction between warranties and indemnities and how they differentiate under English and Danish law. They touch on the disclosure process and differences in claiming under a warranty or indemnity. Published 25 May 2022.

Ep. 3.: Why is it important to know the difference between representations vs. warranties?

Kumaran is accompanied by senior legal consultant Lachlan Salt, specializing in international transactions, to discuss the importance of knowing the differences between representations and warranties when drafting English law contracts. And what does Hammershøi have to do with reps and warranties? Find out in this third episode of the podcast series. Published 3 May 2022.

Ep. 2: Why is it important to differentiate between expressed and implied terms?

Katherine has invited legal consultant Alex Wulff, specializing in financing and corporate M&A, in the studio for a discussion of expressed vs. implied terms. What are the different types of implied terms, how do you ensure they will be a success, and what should you be aware of when drafting the contract? Published 11 April 2022.

Ep. 1: What is an exclusion clause and how to use it?

In this episode Kumaran and Katherine guide you through the use of exclusion clauses.

Exclusion clauses are relevant for commercial agreements (service providers), sale of goods and M&A matters. But how do you draft them? And what are the most common scenarios for drafting exclusion clauses? Published 11 April 2022.
